Content License Agreement

Effective Date: November 28, 2025

This Content License Agreement (the «Agreement») is a legally binding contract between Pixel360 Design Limited («Pixel360», «we», «us», «our») and any individual or legal entity who downloads, accesses, or uses content from the Pixel360 platform («Licensee», «you»).

By downloading or using any content from Pixel360, you agree to be bound by this Agreement.

1. Definitions

For the purposes of this Agreement:

«Licensed Content» means any digital asset made available by Pixel360, including but not limited to photographs, illustrations, graphics, vectors, icons, logos, designs, videos, templates, or other creative materials.

«Use» means to reproduce, copy, modify, adapt, publish, display, distribute, transmit, broadcast, or incorporate the Licensed Content into any project or medium.

«Project» means any creative, commercial, editorial, or informational work in which the Licensed Content is utilised.

«Editorial Use» means use for non-commercial, newsworthy, documentary, or educational purposes.

«Commercial Use» means use intended to generate revenue, promote products/services, or support marketing, branding, or advertising activities.

«Seat» means a single named user authorised to access and use the Licensed Content under this Agreement.

2. Grant of Licence

Pixel360 grants the Licensee a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual, royalty-free licence to use the Licensed Content in unlimited Projects and across all media formats, subject to the terms of this Agreement.

This Agreement constitutes a licence only and does not constitute a sale or transfer of ownership. All intellectual property rights in the Licensed Content remain with Pixel360 and/or its contributors.

3. Ownership and Moral Rights

All Licensed Content is protected by the Copyright, Designs and Patents Act 1988 and remains the exclusive property of Pixel360 or its respective contributors.

Nothing in this Agreement shall be deemed to waive or diminish any moral rights of the creator of the Licensed Content, including the right to be identified as the author and the right to object to derogatory treatment of the work, as protected under UK law.

Licensee must not claim authorship of the Licensed Content or use it in a manner that distorts, mutilates, or misrepresents the original work.

4. Permitted Uses

Unless expressly restricted, the Licensee may:

Use Licensed Content for commercial and non-commercial Projects;

Modify, adapt, crop, or edit the Licensed Content;

Incorporate Licensed Content into digital and physical products;

Use Licensed Content in advertising, marketing, websites, social media, presentations, print publications, video content, and packaging;

Reproduce the Licensed Content without numerical reproduction limits, provided it is not distributed as a standalone file.

5. Restricted Uses

The Licensee must not:

Use Licensed Content in a pornographic, defamatory, obscene, hateful, extremist, racist, discriminatory, or unlawful context;

Use Licensed Content in a manner that implies endorsement, sponsorship, or affiliation by any depicted person, brand, or organisation;

Redistribute, resell, or make Licensed Content available as a standalone file or template;

Use Licensed Content in trademarks, logos, or brand identities without separate written permission;

Use Licensed Content for sensitive subjects without appropriate disclaimers, including but not limited to: medical conditions, political campaigns, personal tragedies, or socially sensitive issues;

Use Editorial Licensed Content for commercial purposes.

6. Attribution

Commercial Use: No attribution is required.

Editorial Use: Attribution must be displayed clearly as: Pixel360 / [Artist Name]

7. Seat and User Licensing

Each licence permits use by one named Seat. Content may be accessed only by that individual. If multiple individuals or departments require access, additional licences must be obtained.

The Licensee may allow clients, subcontractors, or service providers to use the Licensed Content solely for the Licensee’s Project, provided they do not further sublicense or redistribute the content.

8. Data Protection and GDPR

Licensed Content may contain personal data, including identifiable individuals. The Licensee acknowledges its obligation to comply with the UK GDPR and Data Protection Act 2018 when processing such data, including ensuring lawful basis, respecting data subject rights, and securing appropriate releases where required.

Pixel360’s Privacy Policy governs the processing of user data and is available on our website.

9. Term and Termination

This licence is perpetual unless terminated. Pixel360 reserves the right to terminate this Agreement immediately if the Licensee breaches any term. Upon termination, the Licensee must immediately cease all use and destroy all copies of the Licensed Content.

Pixel360 may withdraw any content at any time. In such case, Licensee must cease further use upon notice; prior lawful use shall not incur additional liability but must not continue.

10. Consumer Cancellation Rights

Where the Licensee is a consumer, they have the right to cancel the purchase within 14 days in accordance with the Consumer Contracts Regulations 2013, unless digital content delivery has commenced with the Licensee’s express consent and acknowledgement of loss of cancellation rights.

11. Warranties and Disclaimers

Licensed Content is provided «as is» and without any warranties except that Pixel360 warrants it holds the right to grant this licence. All other warranties, express or implied, are excluded to the fullest extent permitted by law.

12. Liability and Indemnity

Nothing in this Agreement excludes or limits liability for death, personal injury, fraud, or any liability which cannot be excluded under UK law.

Subject to the above, Pixel360’s total liability shall not exceed the fee paid by the Licensee for the Licensed Content.

The Licensee agrees to indemnify Pixel360 against any third-party claim arising from unlawful or unauthorised use of the Licensed Content.

13. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments

Pixel360 reserves the right to update or modify this Agreement at any time. Updated versions shall be posted on the website and continued use constitutes acceptance of the revised terms.

15. General Provisions

If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in full force. This Agreement constitutes the entire agreement between the parties regarding Licensed Content usage.
